Conflict of Interest Policy

1. Purpose

This policy is designed to ensure that all decisions and actions taken by C4 are made in the best interest of the organisation and its charitable purposes, without influence from private interests.

2. Definition

A conflict of interest occurs when a management committee member, volunteer, or member has a personal interest (financial or otherwise) that could improperly influence their duties or decisions on behalf of C4.

3. Scope

This policy applies to all members of the Management Committee, volunteers, and anyone making decisions on behalf of C4.

4. Duty to Disclose

Any person covered by this policy must disclose a conflict of interest if:

  • They or a family member stand to gain personally or financially from a decision.
  • They have a close personal or professional relationship with someone affected by a decision.
  • They serve on another board, committee, or organisation that may be affected.

Disclosures must be made:

  • Verbally at the start of the relevant meeting, and
  • Recorded in the meeting minutes.

5. Managing the Conflict

If a conflict is declared:

  • The person must step out of discussions and decisions relating to the matter.
  • The minutes must record:
    • The nature of the conflict,
    • That the person was absent from related discussion and voting,
    • The final decision that was made.

6. Breaches

Failure to declare a conflict of interest may lead to removal from a position or committee, in line with clause 8(2)(iv) of the constitution (conduct considered injurious to the interests of the Association).

7. Review

This policy will be reviewed every two years or as needed by the Management Committee.
